This Contract is made and entered into by and between the Buyer and the Seller,whereby the Buyer agrees to buy and the Seller agrees to sell the under-mentioned Products according to the terms and conditions stated below:

1.Quality Requirement质量标准

1.1 Quality Standard:Refer to the confirmed sample by both Parties,or the confirmed Products’pictures,or the confirmed test report.

1.2 Quality Objection

The technical specification of above product conform to,and will be printed with CE mark.Before delivery,the Buyer shall do itself or arrange an authorized 3’rd party to make a pre-factory inspection,or check the Seller’s quality test report.Within【】days from the date of delivery,if the Buyer does not raise any objection about the quality of the product,the Products provided by the Seller are deemed to be in full compliance with the contract.

1.2质量异议：上述产品的技术规范符合标准，且会印刷CE标识。买方应当自己或者安排授权的第三方做出厂前验货或检查卖方的质量检测报告。自交货之日起的【】日内，买方没有对产品质量提出异议的，视为卖方提供的产品完全符合合同约定。

2.Incoterms and Delivery贸易术语&交货要求

2.1 Trade Term贸易术语：

Trade term of International Rules for the Interpretation of Trade Terms 2010(“Incoterms 2010”)published by the International Chamber of Commerce shall be applied.

2.1适用国际商会发布的《2010年国际贸易术语解释通则》(以下简称《2010年国际贸易术语解释通则》)中的贸易术语。

2.2 Place of Delivery:the Seller's designated point.

交货地点：卖方指定地点。

3.Payment Term付款方式

3.1The Buyer shall make 100%deposit before production by telegraph transfer to the following bank accounts of Seller after this Contract enters into effect.If The Buyer fails to pay any amount when due,Buyer shall be liable to pay to Seller such unpaid amount plus overdue interest.The interest rate shall be calculated as 0.6%of lnvoice value per month from the due to the actual date of payment.Such overdue interest shall be paid upon demand of Seller.If Buyer fails to fully pay any overdue amount and the interest accumulated therefrom within fifteen days,Seller may at its own discretion terminate this contract without any liabilities to Buyer.

3.1合同签订后，买方在生产前预付合同总价的全款。如果买方未能支付到期的任何款项，买方应向卖方支付该未支付的款项及逾期利息。利息按每月发票金额的0.6%计算，自到期日起至实际付款日止。该逾期利息应在卖方要求时支付。如果买方未能在十五天内付清任何逾期款项及由此产生的累计利息，卖方可以自行决定终止本合同，而无需对买方承担任何责任。

4.Responsibility of both parties双方责任

4.1 The Seller’s Responsibility卖方责任：

If required,the Seller shall provide consulting services and know how to guide the correct use of the products.

4.1如买方需要，卖方提供使用、咨询服务，并指导正确使用产品。

4.2 The Buyer’s Responsibility买方责任：

Under the EXW term,the Buyer bears all the risk of loss or damage to the goods from the time they have been delivered.Even the Seller is authorized to arrange shipment by the buyer,the Seller does not bear any delay responsibility caused by shortage of freight space or lack of sailing(any other similar objective factors)etc.meanwhile,seller does not bear any delay responsibility hampered by new export police issued by seller’s government.

4.2在EXW术语下，自卖方交货后物权及风险转移，买方承担由此开始的一切直接或间接责任。哪怕卖方接受买方委托安排物流，受外部舱位排期紧张造成延迟货物出厂等原因，卖方不承担任何延迟交货的责任。另，受卖方所在政府出口新政策调整带来的延迟交付，卖方不承担任何延迟交付的责任。
