如果本合同任何时候某个条款根据管辖法律违反法律、无效或不可执行。这不应影响或损害：

（A）本合同其他条款在本管辖范围内的合法性、有效性和可执行性；或

（B）本合同该条款在其他管辖范围内以及其他条款的合法性、有效性和可执行性。

12.Miscellaneous其他:

12.1 The Contract shall become effective upon signing of Contract by the authorized representatives of both parties;

12.1本合同经双方授权代表签署后立即生效。

12.2 Any amendment or supplement to this Contract must be signed by both parties to be effective.

对本合同的任何修改和补充需经双方签署后方为有效。

12.3 Neither party hereto shall disclose or reveal to any third party any information regarding the trade secrets or business practices of the other party which have been acquired during the life of this Contract.

12.3在本合同有效期内，任何一方均不得向任何第三方披露或透露任何与另一方的商业秘密或商业惯例有关的信息。

12.4 Nothing in the Contract and no action taken pursuant to it shall constitute or be deemed to constitute the Parties a partnership or constitute one Party an agent for the other for any purpose whatever.

12.4无论出于什么目的，本合同所作约定或根据本合作所采取任何行动都不构成或被视为构成合同方之间是合伙关系或一方是另一方的代理人。

12.5 Wherever this Contract provides for the giving or issuing of approvals,certificates,consents,d

eterminations,notices and requests,these communications shall be in writing,which shall include e-mail or telex.Either party may change their address which notices shall be sent by giving the other party writing notice of such change.

12.5本合同规定的批准、证书、同意、决定、通知和要求等必须书面形式(包括电子邮件和传真)给予对方或予以发布。每一方都可以变更其地址，但应书面通知合同另一方地址变更事宜。

12.6 Subject to any provision contrary to the Contract,no Party shall be entitled to assign or transfer any of its interests,rights or obligations under this Contract without the written permission of the other.

12.6合同任何一方未经另一方书面同意，不得转让或移转其在本合同项下的利益、权利或义务，但本合同另有相反规定的除外。

12.7This Contract is made in both English and Chinese,both versions being valid.In case any discrepancy between the two aforementioned versions,the Chinese version shall prevail.

12.7本合同以中英文书写，两种文本均具有法律效力，若两种文本有任何不一致，则以中文本为准。
